1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the Standards Institute for Global Machine Intelligence Assets ("SIGMA Institute," "we," "our," or "us"), governing your access to and use of the website at sigmainstitute.org (the "Site"), the SIGMA Standard, related documentation, developer tools, grant programs, and all associated services (collectively, the "Services").

By visiting the Site, accessing any content, or using any Services, you represent that (a) you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater; (b) you have the legal capacity to enter into binding agreements; and (c) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" shall include that organization.

2. Description of Services

SIGMA Institute provides informational resources about the SIGMA Standard — a community-ratified framework for AI-native financial operations — including technical documentation, developer integration resources, the $SIGMA token on the Solana blockchain, a developer grant program, and related community resources.

SIGMA Institute is a community-driven standards body, not a financial institution, broker-dealer, investment adviser, exchange, or wallet provider. We do not custody, transmit, or control any digital assets on your behalf.

We reserve the right to modify, suspend, or discontinue the Site or any Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Eligibility and Prohibited Users

You may not use the Services if:

4. The SIGMA Standard and $SIGMA Token

4.1 Nature of the SIGMA Standard

The SIGMA Standard is a community-driven technical framework and documentation set. Publication of the SIGMA Standard does not constitute legal, financial, or investment advice. Adoption of the SIGMA Standard by third parties is voluntary and at their own discretion. SIGMA Institute makes no representations or warranties regarding adoption rates, network effects, or the future utility of the SIGMA Standard.

4.2 Nature of the $SIGMA Token

$SIGMA is a digital asset issued on the Solana blockchain. SIGMA Institute expressly disclaims any representation that $SIGMA is:

4.3 Regulatory Uncertainty

The legal and regulatory status of digital assets, including $SIGMA, is unsettled and varies significantly across jurisdictions. It is your sole responsibility to ensure that your acquisition, holding, use, or transfer of $SIGMA complies with all applicable laws in your jurisdiction, including securities laws, anti-money laundering laws, tax laws, and exchange control regulations. SIGMA Institute does not provide legal or tax advice.

4.4 No Offer or Solicitation

Nothing on the Site or in the Services constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of $SIGMA or any other digital asset. SIGMA Institute does not operate a token sale, initial coin offering, or any other regulated offering.

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

6.1 SIGMA Institute Content

The Site and its original content, features, functionality, design, text, graphics, logos, and other materials ("SIGMA Content") are owned by or licensed to SIGMA Institute and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any SIGMA Content without our prior written consent, except as expressly permitted by these Terms.

6.2 Open Standard License

To the extent SIGMA Institute publishes technical specifications, schemas, or code comprising the SIGMA Standard, such materials are made available under the terms of the applicable open-source or open-standard license designated by SIGMA Institute for that material. Nothing in these Terms restricts your rights under such designated license.

6.3 Feedback

If you submit ideas, suggestions, feedback, or other communications regarding the Services ("Feedback"), you grant SIGMA Institute a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and create derivative works from such Feedback for any purpose. You represent that you have the right to grant this license.

6.4 Trademarks

"SIGMA," "SIGMA Standard," "Standards Institute for Global Machine Intelligence Assets," the $SIGMA symbol, and related marks are trademarks or trade dress of SIGMA Institute. You may not use these marks without our prior written permission. Nothing in these Terms grants you any right to use any SIGMA Institute trademark.

7. Third-Party Services and Links

The Site may contain links to third-party websites, services, blockchain explorers, or other resources. These links are provided for your convenience only. SIGMA Institute does not endorse and is not responsible for the content, products, services, or practices of any third-party sites. Your interactions with third-party sites are solely between you and the relevant third party and are subject to that party's own terms and privacy policies.

Blockchain networks, wallets, and exchanges are independent third-party services. SIGMA Institute does not control, operate, or endorse any specific wallet, exchange, or blockchain infrastructure provider. You use such services at your own risk.

8. Disclaimers of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA INSTITUTE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

SIGMA INSTITUTE MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGMA INSTITUTE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR:

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SIGMA INSTITUTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF SIGMA INSTITUTE TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU HAVE PAID TO SIGMA INSTITUTE IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless SIGMA Institute and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

SIGMA Institute reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of those claims.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Nothing in this Section limits your rights under applicable consumer protection laws in your place of residence.

11.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us on X at @sigma_standard and attempt in good faith to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within 30 days of receiving notice.

11.3 Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be finally resolved by binding arbitration administered under the rules of a recognized arbitration body in the applicable jurisdiction. The arbitration shall be conducted by a single arbitrator. The language of arbitration shall be English. The arbitration shall be confidential. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

11.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SIGMA INSTITUTE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. If any court or arbitrator determines that the class action waiver is void or unenforceable, the arbitration provision shall be null and void with respect to any such claim.

11.5 Exception

Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, without first engaging in arbitration.

12. Digital Assets Risk Disclosure

BY USING THE SERVICES OR INTERACTING WITH $SIGMA, YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS:

YOU ASSUME ALL RISKS ASSOCIATED WITH USING OR POSSESSING DIGITAL ASSETS. YOU SHOULD NOT ACQUIRE $SIGMA OR ANY DIGITAL ASSET WITH FUNDS YOU CANNOT AFFORD TO LOSE.

13. Developer Grant Program

Participation in the SIGMA Institute developer and ecosystem grant program is subject to additional terms and conditions that will be provided at the time of application. SIGMA Institute reserves the sole and absolute discretion to award, withhold, modify, or terminate any grant at any time. Grant awards are not guaranteed and do not constitute a promise of future compensation. SIGMA Institute may require grantees to meet specified milestones and may reclaim tokens if milestones are not achieved. Grant-related $SIGMA allocations are subject to vesting or lockup schedules as determined by SIGMA Institute.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice such as by email or prominent Site notification. Your continued use of the Services following the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.

15. Term and Termination

These Terms are effective from the date you first access the Site or Services and continue until terminated. We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms, applicable law, or if continued provision of Services creates legal or regulatory risk.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including Sections 6, 8, 9, 10, 11, 12, and 16 — shall survive.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features or programs, constitute the entire agreement between you and SIGMA Institute with respect to the Services and supersede all prior and contemporaneous agreements, understandings, and representations.

16.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of these Terms shall continue in full force and effect.

16.3 Waiver

No waiver by SIGMA Institute of any term or condition shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SIGMA Institute may freely assign these Terms without restriction.

16.5 Force Majeure

SIGMA Institute shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power outages, blockchain network failures, or changes in applicable law.

16.6 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any third party.

16.7 Notices

Legal notices to SIGMA Institute must be sent via X to @sigma_standard. Notices to you will be posted on the Site.

16.8 Language

These Terms are drafted in the English language. Any translation is provided for convenience only. In the event of any inconsistency between the English version and any translation, the English version shall prevail.
